Kein Preisanpassungsrecht von Gasversorgern bei unwirksamer Preisanpassungsklausel
BGH – VIII ZR 81/08 – Pressemitteilung Nr. 8/2010 vom 13.01.2010
Der Bundesgerichtshof (BGH) hat heute erneut einer Klage von Kunden eines Gasversorgers gegen Preiserhöhungen stattgegeben. Die in den Erdgas-Sonderverträgen der klagenden Kunden verwendeten Preisanpassungsklauseln sind wegen unangemessener Benachteiligung der Kunden unwirksam. Ein Preisanpassungsrecht des Versorgungsunternehmens ergibt sich auch nicht aus einer ergänzenden Vertragsauslegung.
Die Parteien stritten um die Wirksamkeit von Gaspreiserhöhungen, die von der Beklagten, einem kommunalen Versorgungsunternehmen im Ruhrgebiet, einseitig vorgenommen worden waren. Die 180 Kläger schlossen spätestens im September 2004 mit der Beklagten Gaslieferverträge nach den Sonderabkommen SOA1 und SOA2. Die von der Beklagten vorformulierten Bedingungen für das Sonderabkommen lauten auszugsweise wie folgt (bei Verträgen, die vor 1984 abgeschlossen wurden, haben die Bedingungen einen geringfügig abweichenden Wortlaut):
“4. Die Stadtwerke [= Beklagte] behalten sich eine Änderung der Preise und Bedingungen dieses Sonderabkommens vor. Für das Wirksamwerden genügt eine entsprechende Veröffentlichung in der […] Tagespresse. Ist der Kunde mit einer Änderung nicht einverstanden, so kann er das Sonderabkommen mit zweiwöchiger Frist auf das Ende des der öffentlichen Bekanntmachung folgenden Monats schriftlich kündigen und eine weitere Belieferung zu den Preisen und Bedingungen der Sondervereinbarung oder als Tarifkunde nach den AVBGasV und den hierzu jeweils gültigen Anlagen der Stadtwerke und damit insbesondere zu den “Allgemeinen Tarifen” verlangen. Die vereinbarte Vertragslaufzeit bleibt hiervon unberührt.
5. Soweit in diesem Sonderabkommen nichts anderes vereinbart ist, gelten die Bestimmungen der AVBGasV entsprechend.

9. Die Laufzeit dieses Vertrages beträgt – soweit nichts anderes vereinbart – zwei Jahre; er verlängert sich um jeweils ein Jahr, wenn er nicht drei Monate vor Ablauf schriftlich gekündigt wird.”
Die Beklagte erhöhte die Arbeitspreise zum 1. Oktober 2004, 1. April 2005, 1. Oktober 2005, 1. Januar 2006 und zum 1. Oktober 2006. Dagegen wenden sich die Kläger mit ihrer Feststellungsklage. Das Landgericht hat der Klage stattgegeben, das Oberlandesgericht hat sie abgewiesen.
Die dagegen gerichtete Revision der Kläger hatte Erfolg. Der VIII. Zivilsenat des Bundesgerichtshofs hat entschieden, dass die umstrittenen Gaspreiserhöhungen unwirksam sind, weil die Preisanpassungsklauseln in den Formularverträgen einer Inhaltskontrolle nach § 307 Abs. 1 Satz 1 BGB nicht standhalten und deshalb kein Recht des Gasversorgers zur einseitigen Änderung des Gaspreises besteht. Die Preisanpassungsklauseln benachteiligen die Kunden entgegen den Geboten von Treu und Glauben jedenfalls deshalb unangemessen, weil sie nur das Recht des Versorgers vorsehen, Änderungen der Gasbezugskosten an die Kunden weiterzugeben, nicht aber die Verpflichtung, bei gesunkenen Gestehungskosten den Preis zu senken. Eine Preisanpassungsklausel muss aber das vertragliche Äquivalenzverhältnis wahren und darf dem Verwender nicht die Möglichkeit geben, über die Abwälzung konkreter Kostensteigerungen hinaus einen zusätzlichen Gewinn zu erzielen (vgl. dazu zuletzt Urteil des Bundesgerichtshofs vom 28. Oktober 2009 – VIII ZR 320/07, Pressemitteilung Nr. 220/2009).
Dem beklagten Unternehmen ist auch, anders als das Berufungsgericht gemeint hat, nicht im Wege der ergänzenden Vertragsauslegung ein Preisänderungsrecht zuzubilligen. Eine ergänzende Vertragsauslegung bei Unwirksamkeit von Allgemeinen Geschäftsbedingungen kommt nur dann in Betracht, wenn die entstehende Regelungslücke zu einem Ergebnis führt, das den beiderseitigen Interessen nicht mehr in vertretbarer Weise Rechnung trägt, sondern das Vertragsgefüge einseitig zugunsten des Kunden verschiebt. Das ist angesichts der für das Versorgungsunternehmen bestehenden Kündigungsmöglichkeiten nicht der Fall.

Exactly. The ‘Snapdragon’ happens to include a poor GPU, which you mentioned the specifics of in your comment. To that end I heavily dislike the idea of calling a phone with one of these SOCs ‘high-end’. My overclocked Droid performs general calculations nearly as well at the same clock speed as a Snapdragon at 1Ghz, but it’s 3D performance beats the Snapdragon easily – and Hummingbird just kills everything else on Android. It’s a shame Microsoft made Snapdragon the only currently supported chip for 7, as it’s going to limit game development in the long run. Shame Focus isn’t rocking a Hummingbird.
